What is an EDI 105?

The EDI 105 Business Entity Filings is the bi-directional ANSI X12 transaction set business entities, government administrators and regulators can use to exchange required business entity filing information, such as annual reports.

Corporations and other entities must file reports with the jurisdictions where they are formed or registered to do business. Registered agents and service companies file for many entities and benefit from a structured electronic format, while government offices can return acknowledgments and status the same way. Fees are often paid with the filing.

How to read this diagram: the top row shows who sends the 105, to whom, and which documents usually come before and after it. The lower part shows what X12 release 008010 itself requires: the envelopes around the 105 and the segments and loops the standard marks as required, area by area. Optional loops are listed by the segment that starts them rather than drawn in full. This is the standard's minimum, not a trading partner's requirement: each partner's implementation guide usually makes some optional loops mandatory, restricts the codes and may use a different release.

Structure

Mandatory segments in the 105 (X12 release 008010)

The segments X12 release 008010 marks as mandatory at their level, in order. Segments inside optional loops are needed only when the loop is used. This is the standard's requirement, not your trading partner's: each partner's implementation guide names the release it uses, adds the optional segments it requires and restricts the values. The requirement status comes from one published X12 reference listing and has not been checked against a second source.

Practical example

The 105 in practice

A registered agent service files annual reports for 2,000 client companies across several states. Its system sends each state office a 105 with each entity's officers, address and registered agent. The offices accept the filings and return confirmations.

Implementation

Implementation considerations for the 105

  • Follow each jurisdiction's filing requirements and deadlines.
  • Keep entity identifiers consistent with official records.
  • Track filing confirmations and fees paid.
  • Check which jurisdictions accept electronic filings in this format.
